Terms of Service

1. Acceptance of These Terms

By accessing or using any website, portal, mobile or desktop application, or other online service (collectively, the "Platform") operated by Ellis Legal, P.C. and Ellis Technologies, Inc. (together, "Ellis," "we," "our," or "us"), or by engaging us to provide legal or related services (the "Services"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Platform or the Services.

2. Description of Services

Ellis is a modern immigration law practice that combines traditional legal representation with proprietary technology to collect information, draft filings, and collaborate with clients and beneficiaries. Unless expressly stated otherwise, the Services include legal representation only after you execute a written engagement agreement countersigned by an Ellis attorney.

3. No Attorney–Client Relationship Without Engagement Letter

Your use of the Platform, submission of information, or communication with Ellis does not by itself create an attorney–client relationship. Such a relationship arises only after (i) we have performed a conflict check, (ii) both you and an Ellis attorney have signed a written engagement letter, and (iii) any required retainer has been received.

4. Eligibility and User Accounts

You must be at least 18 years old and have the legal capacity to enter into these Terms. You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

5. User Responsibilities

You agree to:

  • provide complete and truthful information necessary for your matter;
  • comply with all applicable laws and regulations;
  • refrain from using the Platform for any fraudulent, harassing, or unlawful purpose;
  • respect the intellectual‑property and privacy rights of others.

6. Limited License and Permitted Use

Ellis grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Platform solely for your personal or internal business purposes in connection with seeking or receiving immigration legal services from Ellis.

7. Prohibited Activities

You shall not:

  • copy, modify, distribute, sell, or lease any part of the Platform;
  • reverse engineer or attempt to extract the source code of the Platform, except to the extent such restriction is prohibited by law;
  • upload or transmit viruses, malware, or other harmful code;
  • use any automated system to scrape or harvest data from the Platform;
  • interfere with or disrupt the integrity or performance of the Platform.

8. Fees and Payment

Fees for legal representation are set forth in your engagement letter. Unless otherwise stated, invoices are due upon receipt. You are responsible for all government filing fees and third‑party costs.

9. Confidentiality and Privilege

Ellis will maintain the confidentiality of information you provide in accordance with applicable rules of professional conduct, our Privacy Policy, and any engagement letter. You acknowledge that communications made before an attorney–client relationship is formed may not be privileged.

10. Use of Artificial‑Intelligence and Third‑Party Tools

We employ AI‑assisted drafting tools and third‑party services under zero‑retention agreements to enhance efficiency. By using the Services, you consent to our use of such tools in a manner consistent with our Privacy Policy and professional‑responsibility obligations.

11. Intellectual Property

All content, software, and materials on the Platform, including the Ellis name and logo, are owned by Ellis or its licensors and are protected by intellectual‑property laws. You retain ownership of content you submit but grant Ellis a worldwide, royalty‑free license to use, reproduce, and display that content solely to provide the Services.

12. Feedback

If you provide suggestions or feedback regarding the Platform or Services, you grant Ellis an unrestricted, perpetual, irrevocable, royalty‑free license to use such feedback for any purpose without obligation to you.

13. Third‑Party Services and Links

The Platform may contain links to or integrations with third‑party services that are not controlled by Ellis. Your use of such services is governed by their terms and policies, and Ellis is not responsible for their content or practices.

14. Disclaimers of Warranties

The Platform and Services are provided "as is" and "as available." Ellis disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non‑infringement, or that the Platform will be uninterrupted or error‑free.

15. Limitation of Liability

To the maximum extent permitted by law, Ellis and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to these Terms, the Platform, or the Services, even if Ellis has been advised of the possibility of such damages. Ellis's total liability for any claim arising from or related to the Services or these Terms will not exceed the greater of (i) the amount paid by you to Ellis in the twelve months preceding the event giving rise to the claim or (ii) one thousand U.S. dollars (USD $1,000).

16. Indemnification

You agree to defend, indemnify, and hold harmless Ellis and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or regulation; or (c) your content or misuse of the Platform.

17. Termination

Ellis may suspend or terminate your access to the Platform at any time for any reason, including for violation of these Terms. Upon termination, your right to use the Platform will cease immediately, but Sections 11–21 will survive.

18. Data Deletion Requests and CCPA Compliance

Ellis provides an easy way for users to request permanent deletion of their personal data. You may submit a verified deletion request by emailing legal@ellis.com with the subject line "Data Deletion Request." Upon verifying your identity, we will permanently delete or irreversibly anonymize your personal data within sixty (60) days, unless retention is required by applicable law, court order, or professional‑conduct rules.

If you are a California resident, Ellis processes personal data in compliance with the California Consumer Privacy Act ("CCPA") and, where applicable, the California Privacy Rights Act ("CPRA"). In addition to the rights described in our Privacy Policy, California residents have the right to request deletion of personal information, to know what categories of personal information we collect, and to opt out of any sale or sharing of personal information (which Ellis does not do). We will not discriminate against you for exercising any CCPA rights.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict‑of‑laws principles. Any dispute arising under these Terms that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in New York County, New York. The arbitrator's award may be entered in any court of competent jurisdiction. You and Ellis waive any right to a jury trial or to participate in a class action.

20. Modifications to Terms

Ellis may revise these Terms from time to time. We will notify you of material changes by email and in‑app banner and will seek your active consent before such changes take effect. Continued use of the Platform or Services after the effective date of revised Terms constitutes acceptance.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be interpreted to fulfill its intended purpose to the maximum extent permitted.

22. Entire Agreement

These Terms, together with the Privacy Policy and any applicable engagement letter, constitute the entire agreement between you and Ellis regarding the Platform and Services and supersede all prior agreements or understandings.
